Madison Roberts is an associate in the law firm of Mercer Thompson LLC. He concentrates his practice on representing both regulated and non-regulated infrastructure and energy companies in all aspects of project development and finance, including their development, acquisition and sale, and ownership and operation of projects.  His experience includes drafting and negotiating finance documents for project finance transactions.

In addition, Mr. Roberts has represented business owners and privately held, closely held, and publicly-traded companies in general corporate and securities matters, including mergers and acquisitions, joint ventures, partnerships, corporate governance and securities compliance matters, and public offerings and private placements of debt, equity and hybrid securities.  In this area of practice, Mr. Roberts’ experience includes drafting and negotiating stock and asset purchase agreements, letters of intent, shareholders’ agreements, LLC operating agreements, employment and confidentiality agreements, and private placement offerings.

Representative Transactions

  • Associate to lead outside finance and securities counsel for Wisconsin Energy Corporation and its subsidiaries, including Wisconsin Electric Power Company, Wisconsin Gas LLC and subsidiaries that own generating assets under construction
  • Associate to lead outside counsel for Wisconsin Electric Power Company remarketing of its Pollution Control Refunding Revenue Bonds ($147 million aggregate principal amount)  
  • Associate to lead outside counsel for Port Washington Generating Station LLC’s private placement of $156 million non-recourse Senior Notes to finance Unit 2
  • Representation of issuers in numerous public offerings of debt and hybrid securities (including fixed, floating rate and extendible debt securities and non-cumulative preferred stock) in an aggregate amount of approximately $1.5 billion
  • From January 2008 through April 2008, representation of electric utilities in connection with the remarketing and conversion of 32 series of auction rate tax-exempt bonds ($1.2 billion aggregate principal amount) to various fixed and floating interest rates
