Madison Roberts is an associate in the law firm of Mercer Thompson LLC. He concentrates his practice on representing both regulated and non-regulated infrastructure and energy companies in all aspects of project development and finance, including their development, acquisition and sale, and ownership and operation of projects.  His experience includes drafting and negotiating finance documents for project finance transactions.

In addition, Mr. Roberts has represented business owners and privately held, closely held, and publicly-traded companies in general corporate and securities matters, including mergers and acquisitions, joint ventures, partnerships, corporate governance and securities compliance matters, and public offerings and private placements of debt, equity and hybrid securities.  In this area of practice, Mr. Roberts’ experience includes drafting and negotiating stock and asset purchase agreements, letters of intent, shareholders’ agreements, LLC operating agreements, employment and confidentiality agreements, and private placement offerings.

Renewable Energy Projects

  • Associate to Counsel to private developer of 175 MW Solar facility located in Imperial County, California.  Representation included negotiation and drafting of the EPC Agreement, O&M Agreement, Performance Guarantee Agreement and other related documents. 
  • Associate to Counsel to private developer of 250 MW Solar facility located in Arlington, Arizona.  Representation included negotiation and drafting of the EPC Agreement, O&M Agreement, Performance Guarantee Agreement and other related documents. Click here to learn more.
  • Associate to Counsel to regulated power producer in connection with the development of a refined coal producing facility which will be incorporated into its 650 MW lignite coal facility in DeSoto Parish, Louisiana.  The refined coal facility utilizes a process to apply chemical additives to lignite coal which results in significant reductions in coal emissions.  Representation included negotiation and drafting of the coal supply agreement, the refined coal sales agreement, the facility lease agreement, the site services agreement and other related documents.
  • Counsel to Georgia-based Real Estate Investment Trust for the negotiation and drafting of a solar EPC Agreement in connection with its development of a 1.3MW ground-based solar PV project for its commercial property located in New Jersey. 
  • Associate to lead counsel in the development of the Northwest Florida Renewable Energy Center biomass gasification project, a first-of-its-kind nominal 55MW facility that will generate electric energy by combusting synthetic gas derived from the gasification of biomass-based feedstocks.
  • Counsel to international wind power project developer in the negotiation of fourteen (14) Non-Disclosure and Confidentiality Agreements entered into in connection with the client’s proposed development of a wind power generation facility.
  • Associate to Counsel to private developer in connection with its development of over 200 miles of overhead transmission line in Texas, responsible for all engineering, procurement and construction agreements relating to same. 
  • Associate to Counsel to U.S. developer of 32MW battery storage facility co-located at wind farm, including advising on EPC Agreement for facility and related documents. Click here to learn more.
  • Associate to Counsel to international independent power producer in connection with its development of a 150 MW wind farm in Laurel Mountain, Pennsylvania that utilizes GE turbines.  Representation included negotiation and drafting of balance of plant and installation EPC contract and related documents.
  • Associate to Counsel to international independent power producer in connection with its development of a 150 MW wind farm in West Virginia that utilizes GE turbines.  Representation included negotiation and drafting of balance of plant and installation EPC contract and related documents.
  • Counsel to developer for the negotiation and drafting of a solar PPA in connection the installation and sale of power to a condominium association in Louisiana.
  • Associate to counsel to developer for the negotiation and drafting of a solar PPA in connection the installation and sale of solar power by a commercial real estate landlord to its grocery store tenant in Massachusetts.

  • Representation of public utility company in connection with the preparation and filing of its registration statement for $1.150 billion.
  • Representation of Wisconsin Electric Power Company in its registered offering of $250 million of debentures.
  • Associate to lead outside counsel for Wisconsin Electric Power Company remarketing of its Pollution Control Refunding Revenue Bonds ($147 million aggregate principal amount).  
  • Representation of issuers in numerous public offerings of debt and hybrid securities (including fixed, floating rate and extendible debt securities and non-cumulative preferred stock) in an aggregate amount of approximately $1.5 billion.
  • Representation of electric utilities in connection with the remarketing and conversion of 32 series of auction rate tax-exempt bonds ($1.2 billion aggregate principal amount) to various fixed and floating interest rates.
  • Representation of a public utility company in connection with its issuance of $250 million of senior notes.
  • Representation of a public utility company in connection with its issuance of $225 million of preferred stock.
  • Representation of a public utility company in connection with its issuance of $100 million of senior notes.
  • Representation of a public utility company in connection with its issuance of $45 million of preferred stock.

Project Finance Transactions

  • Associate to lead counsel to the developer of an advanced nuclear generating facility in connection with the first DOE loan guarantee for a nuclear power project under Title XVII of the Energy Policy Act of 2005.
  • Associate to lead counsel to Elm Road Generating Station LLC in its offer and sale in the capital markets pursuant to Rule 144A of $420 million of notes secured by a collateral assignment of a long-term lease of the Oak Creek Unit 2 generating facility.
  • Associate to lead counsel in negotiating revolving corporate credit facilities of $450 million on behalf of Wisconsin Energy Corporation.
  • Associate to lead counsel in negotiating revolving corporate credit facilities of $500 million on behalf of Wisconsin Electric Power Company.
  • Associate to lead counsel in negotiating revolving corporate credit facilities of $300 million on behalf of Wisconsin Gas LLC.
  • Associate to lead counsel to Elm Road Generating Station LLC in its offer and sale in the capital markets pursuant to Rule 144A of $530 million of notes secured by a collateral assignment of a long-term lease of the Oak Creek Unit 1 generating facility.
