Advanced Reactor Development:  Our attorneys have the distinction of leading the legal effort in negotiating the first turnkey nuclear EPC agreement for a twin unit advanced passive nuclear reactor executed in the United States since the 1970s. 

Further, our attorneys are now leading the effort to negotiate the first DOE loan guaranty for a new advanced nuclear power plant pursuant to Title XVII of the Energy policy Act of 2005.

Our attorneys are also currently advising a major U.S. investor-owned utility in an RFP process to select a consortium with whom to execute a turnkey nuclear EPC agreement for the construction of a single unit advanced nuclear power plant.

Nuclear Regulatory Experience: Our attorneys have experience with nuclear reactor regulation and have practiced before the Nuclear Regulatory Commission. As a result, they are an excellent complement to a utility company’s traditional nuclear regulatory counsel.

Nuclear Power Plant Co-owner Transactions:  Our attorneys have years of experience negotiating co-ownership arrangements among nuclear plant owners including investor-owned utilities, electric cooperatives and municipal electric authorities. 

Representative Transactions:

  • Counsel to Dominion Resources Services, Inc. with respect to its 2009 request for proposals (RFP) for a turnkey engineering, procurement and construction EPC agreement for Dominion Virginia Power’s proposed North Anna 3 Nuclear Power Station, including the development of a pro forma EPC agreement
  • Counsel to Georgia Power Company in the negotiation of a turnkey EPC agreement to add two new AP1000 nuclear power generating units to the existing Plant Vogtle site in Waynesboro, Georgia
  • Lead outside co-counsel to Wisconsin Electric Power Company in its sale of the Point Beach Nuclear Power Station for approximately $1.5 billion, including the development of a co-ownership structure as an alternative to a sale of 100% ownership interest
  • Lead counsel to Illinois Power Company in connection with the sale of the Clinton Nuclear Power Station, negotiation of the definitive asset purchase agreement and advice concerning U.S. Nuclear Regulatory Commission approval to transfer the operating license
  • Lead counsel to major U.S. energy companies in connection with the potential acquisition of commercial nuclear generating assets and spent nuclear fuel storage facility assets
  • Counsel to Georgia Power Company and Southern Nuclear Operating Company with respect to the transfer of the Nuclear Regulatory Commission (NRC) operating licenses for Plants Hatch and Vogtle from Georgia Power Company to Southern Nuclear Operating Company
  • Lead counsel to Georgia Power Company in connection with the negotiation of a nuclear managing board agreement and a nuclear operating agreement for the ownership and operation of the Plant Vogtle and Plant Hatch nuclear power plants
  • Lead counsel to various NRC licensees in connection with enforcement actions and investigations, as well as whistleblower claims (before both the NRC and the Department of Labor)
